1. Acceptance of Terms
Engagement with the Visiorence platform or our professional services constitutes your express agreement to the following Terms and Conditions
2. Services Overview
NQ Visiorence LLC (“Company”) shall perform Non-Destructive Testing (NDT), Research and Development, AI/ML-assisted Failure Analysis, and Professional Training as described in the accepted Proposal or Work Order. NDT Services are performed in accordance with industry-standard practices (e.g., ASNT, ASTM, API, etc.) current at the time of inspection. The Client acknowledges that NDT results represent the condition of the subject matter only at the specific time and location of the test and are subject to the inherent limitations of the testing methodology used.
3. Professional Liability/E&O Limitations
The Company maintains Professional Liability (Errors & Omissions) and Pollution Liability insurance, each with a limit of $1,000,000.
Cap on Liability: To the fullest extent permitted by law, the total aggregate liability of the Company to the Client for any errors, omissions, or professional negligence shall not exceed the total amount of the fee paid by the Client for the specific service provided, or the limit of the Company’s insurance policy, whichever is lower.
No Consequential Damages: In no event shall NQ Visiorence LLC be liable for indirect, incidental, or consequential damages, including but not limited to loss of use, loss of profit, or business interruption, regardless of whether such claim is based on contract or tort.
4. General Liability & Operations
The Company maintains Commercial General Liability with a $2,000,000 General Aggregate limit and Workers Compensation coverage.
Site Access: The Client must provide safe and unobstructed access to the inspection site.
Safety Disclosure: The Client is responsible for notifying the Company of any known hazardous conditions, substances, or specialized safety protocols at the work site before work commences.
5. Client Responsibilities
The Client shall provide all necessary technical data, blueprints, standards, and equipment specifications required for the Company to perform the services. NQ Visiorence LLC is entitled to rely on the accuracy and completeness of information provided by the Client without independent verification.
6. Reports and Use of Data
Ownership: Reports issued by the Company are for the sole and exclusive use of the Client for the purpose intended.
Third-Party Reliance: No third party may rely on the Company’s reports without express written consent. The Company assumes no liability for the unauthorized use of its reports by third parties.
Intellectual Property: All proprietary testing methods, software models, and technical processes developed by the Company remain the exclusive intellectual property of NQ Visiorence LLC.
7. Notice Of Claim
As a condition precedent to any recovery, the Client must provide written notice to NQ Visiorence LLC of any alleged error or omission within thirty (30) days of the date the final report was issued. This allows the Company the opportunity to re-inspect or rectify the findings while conditions remain unchanged.
8. Payment Terms
Invoices are due and payable within thirty (30) days of the invoice date (Net 30), unless different payment terms are agreed upon. Late payments shall be subject to a finance charge of 1.5% per month or the maximum rate permitted by law.
9. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by the laws of the State of Texas. Any legal action or proceeding arising out of these terms shall be brought exclusively in the courts of Tarrant County, Texas.
FORCE MAJEURE The Company shall not be liable for any delay or failure to perform services resulting from causes beyond its reasonable control, including but not limited to acts of God, extreme weather, site shutdowns, or equipment failure.
